No right, title or interest in any downloaded materials or software is transferred to you as a result of any such downloading or copying.   We have made every effort to display as accurately as possible the colors of our products that appear at the Site. However, as the actual colors you see will depend on your monitor, we cannot guarantee that your monitor's display of any color will be accurate.

  To the extent that this Site contains links to outside services and resources, the availability and content of which UB2B does not control, any concerns regarding any such service or resource, or any link thereto, should be directed to the particular outside service or resource.

YOU ACKNOWLEDGE, BY YOUR USE OF THE SITE, THAT YOUR USE OF THE SITE IS AT YOUR SOLE RISK, THAT YOU ASSUME FULL RESPONSIBILITY FOR ALL COSTS ASSOCIATED WITH ALL NECESSARY SERVICING OR REPAIRS OF ANY EQUIPMENT YOU USE IN CONNECTION WITH YOUR USE OF OUR SITE, AND THAT UB2B SHALL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND RELATED TO YOUR USE OF THIS SITE.

• INDEMNIFICATION
  You agree to defend, indemnify and hold UB2B harmless from and against any and all claims, damages, costs and expenses, including attorneys' fees, arising from or related to your use of the Site.

• MISCELLANEOUS
  Unless otherwise specified and except to the extent UB2B products are offered for sale throughout the world through this Site, this Site and the Contents thereof are displayed solely for the purpose of promoting UB2B's products and services available in the United States and select foreign markets. This Site is controlled and operated by UB2B from its offices at 118 Seaview Drive, Secaucus, NJ 07094.
  
  This Agreement shall be construed in accordance with the laws of the State of New Jersey, without regard to any conflict of law provisions. Any dispute arising under this Agreement shall be resolved exclusively by the State and Federal courts of the State of New Jersey.

• TERMINATION
  This Agreement is effective unless and until terminated by either you or UB2B. You may terminate this Agreement at any time. UB2B also may terminate this Agreement at any time and may do so immediately without notice, and accordingly deny you access to the Site, if in UB2B's sole discretion you fail to comply with any term or provision of this Agreement. Upon any termination of this Agreement by either you or UB2B, you must promptly destroy all materials downloaded or otherwise obtained from this Site, as well as all copies of such materials, whether made under the terms of this Agreement or otherwise.

• CANCEL ORDERS
  You may request than an order be cancelled provided the order has not already been processed and shipped. Simply call 1-866-218-2468 during UltimateB2B.com's hours of operation to request an order cancellation. You will receive a credit for the full amount to your credit/debit card in approximately 1-2 business days. We strongly discourage sending order cancellation requests via email because it is unlikely we will receive the message in time to void the order due to the sheer volume of emails we receive each day. Shipping charges are non-refundable. In addition, UltimateB2B.com will assess a 5% restocking fee against the Customer's account on all returns for refund.

• RETURNS
  To return a product in compliance with UB2B's policies, you must obtain a Return Merchandise Authorization ("RMA") number within 30 days of purchase. UltimateB2B.com will not accept returns without prior authorization and a RMA number. Once issued, RMA numbers are valid for 15 days within which return products must be received by UltimateB2B.com. RMA numbers will not be extended or reissued. Customer should prominently display the RMA number(s) on the shipping label of boxes containing the returned product. Customer is solely responsible for shipping any returned product to UltimateB2B.com. Customer agrees to use only reputable carriers capable of providing proof of delivery and insurance for the entire value of the shipment. Customer agrees to bear all shipping and insurance charges and all risk of loss for the return product during shipment. Customer agrees that all returned products will be 100% complete, in re-saleable condition, and will include the original packaging material, manuals, blank warranty cards, and other accessories provided by the manufacturer. If any component of the returned product is missing, UltimateB2B.com's Return Procedure will be breached and UltimateB2B.com may in its sole and absolute discretion reject the entire return or choose to impose additional charges against the customer for replacement of the missing component(s). UltimateB2B.com will not refund to Customer the original shipping charges. In addition, UltimateB2B.com will assess a 5% restocking fee against the Customer's account on all returns for refund.
